W. Milton Cox
Founder & CEO
Mr. Cox founded CodeAmerica Investments in 1999 after divesting his interest in Diamond Oil & Gas, Inc, where he served as President, to a Texas based oil exploration and production company. He has over 30 years of executive experience in resource investment management and operations. He has over 25 years experience in financing of oil & gas and mining and related service company ventures worldwide. He has successfully restructured and turned around three manufacturing companies which were purchased out of bankruptcy and sold for substantial returns for his partners. Mr. Cox has been the President of National Diamond Corporation, an international diamond wholesaler with offices in the United States, Sao Paulo Brazil, and Johannesburg South Africa, since 1986. He holds a BBA in Marketing and an MBA in finance as well as a BSC Petroleum Geology certificate. Mr. Cox is also a member of the ASME International Petroleum Technology Institute.Advisory Group
CodeAmerica Investments “Advisory Group” works closely with our portfolio companies in bringing them public and providing after-market services that continue to build long term shareholder value. The advisory group is composed of professionals who have extensive financial and legal expertise in investment banking, deal structuring and execution. When working with private companies, the “Advisory Group”, in many cases, structures a public vehicle through an APO self registration or by providing the corporate vehicle for a reverse merger. The complete process is managed by the advisory team which also identifies and brings in vendors for ongoing legal, accounting, and investor and public relations services required to support the portfolio company’s transition into the public markets.
Once public, the “Advisory Group” provides portfolio companies with the after-market support required to grow long term shareholder value. This is done through providing legal, accounting, communications and investor relations services, as well as helping the company build relationships with investment banks, research analysts and sector-specific investors.

Porter Hedges represents a broad spectrum of private equity funds, mezzanine investment funds and other alternative investment vehicles on various matters, including acquisitions, financings, and exit transactions. They represent clients on investment transactions and exit strategies of all kinds, including traditional LBOs, MBOs, recapitalizations, minority investments, PIPE transactions, initial public offerings, and acquisitions and dispositions. While they focus on M&A activities, they also advise private equity clients on a variety of legal and regulatory matters including securities regulations, tax, and employee benefit plan regulations. They also work with both management teams and portfolio companies that are seeking private equity funding for their businesses. Over the last several years, Porter Hedges LLP have advised clients in nearly 100 private equity transactions with a combined value of more than $7 billion.
Nick D. Nicholas
Partner
Nick Nicholas is a partner in the corporate practice group of Porter Hedges. He has in-depth experience in the representation of publicly-held and privately-owned companies in upstream energy and oil field service industries. During his 35+ years of private practice, Mr. Nicholas has gained the first-hand experience and practical judgment necessary to successfully complete the most challenging engagements in corporate finance, mergers and acquisitions, SEC reporting and compliance, negotiated settlements of business disputes and board and special committee representation. He has also represented clients engaged in a diverse array of businesses, including industrial products manufacturing, environmental treatment and disposal, securities trading, death care, and computer software and technology.
Mr. Nicholas has been selected for inclusion in Texas Super Lawyers in Securities/Corporate Finance Law since 2004 and Super Lawyers, Business Edition in the area of Securities and Corporate Finance since 2008.
Kevin J. Poli
Partner
Kevin Poli is a partner in the corporate practice group of Porter Hedges. His practice focuses on representing public and private companies in a broad range of corporate and securities matters including equity and debt capital markets transactions, mergers and acquisitions, private equity investments, SEC compliance, corporate governance and general corporate matters. He has represented clients in the upstream and midstream energy, construction, clean tech, gasification and manufacturing industries. Mr. Poli also represents investment banking firms, investors and issuers in capital market transactions.
Mr. Poli was selected for inclusion in Texas Rising Stars in 2013 for Securities & Corporate Finance.

Sidney A. Goldstein, CPA
Mr. Goldstein brings over 35 years of accounting experience and business consulting to the Advisory Board. He is an experienced professional in raising debt and equity, as well as turn around management. His experience also includes domestic and international accounting, finance, cash management, strategic planning, mergers and acquisitions, and risk management. Mr. Goldstein holds a BBA from the University of Memphis and received his Certified Public Accounting License in 1975. He is a member of the Tennessee Society of Public Accountants and the American Institute of Certified Public Accountants.
Charles E. Stanford, CPA
Mr. Stanford brings to the “Advisory Board” 25 years of public accounting experience. Mr. Stanford’s area of expertise includes financial accounting, private company cost accounting/controllership, senior and supervisory audit experience including bank collateral audits and the negotiations of credit facilities with financial institutions. His main focus as an Advisory Board Member is coordinating advisory services with management of new and existing portfolio companies. Mr. Stanford earned his BBA in Accounting and Finance from the University of Memphis in 1984 and his CPA certificate in 1986.

Mr. Brunet currently serves as an Executive Vice President and the Chief Information Officer of Newtek Business Services, Inc. In addition, Mr. Brunet is responsible for strategic planning and marketing on a company-wide basis. Prior to joining Newtek, Mr. Brunet was Chairman and CEO of Harvest Strategies, a strategic consulting firm, and was responsible for developing and implementing corporate strategic plans for its clients on a global basis.
